User Agreement & Terms and Conditions

This Agreement governs your use of all products and services provided by ugee, including the ugee website (www.ugee.com), the ugee online store, the ugee Ufun application ("Ufun APP"), and any related services (collectively, the "Services").

Please read this Agreement carefully. By registering, logging in, installing, downloading, accessing, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by the terms herein. If you do not agree to any part of this Agreement, please stop using the Services immediately.

Minors should read this Agreement accompanied by their legal guardian. ugee may suspend or stop providing Services to you if you do not comply with these terms or policies.

I. Terms of Usage of Our Services

You may visit the Site without registration. However, you need a ugee Account ("Account") and must provide relevant personal information on the registration webpage in order to access more Services and Support. You can delete or suspend your account under the instructions of the Site, and we will keep or delete your Account based on this Agreement.

You hereby commit and undertake the following:

You understand and agree that the Site is an application service product. You shall take full responsibility for the authenticity, legality, accuracy, and validity of your registration information; you shall also be responsible for updating any changes in your registration information to keep it current; you shall not post any information in the name of others; you shall not use registered accounts maliciously; otherwise, we reserve the right to suspend the Services and you shall fully bear all legal liability.
You shall use the Site and Services in accordance with all applicable laws and take full responsibility for activities under your registered Accounts, including your statements and any loss or damage that may directly or indirectly arise from your statements. You should assess the risks of the content on your own and take all risks arising from it, including risks relating to the correctness, completeness, or practicability of the content. ugee will not take any responsibility for any loss or damage that results from this behavior or activity.
You have the obligation to take good care of your registration information on the Site and are responsible for all activities thereunder. You must immediately notify ugee if you find any illegal or unauthorized activities. ugee will not be liable for damages or losses arising from a user's non-compliance with any of the above provisions. All your statements on the Site are public information that any third party has access to. Any statement posted on the Site will be deemed public information, and users shall bear legal liability for such statements. If you do not want any third party to access your statements, please do not post them on the Site.

You shall also understand and hereby acknowledge the following:

The user accepts that in relation to business development, we may change, suspend, restrict, terminate, or revoke the rights to our services at any time without notice.
We may include advertisements and similar content in our Services.
We have the right to suspend, at our sole discretion, any content that violates the laws and regulations in any jurisdiction or the terms of this Agreement; that infringes, prejudices, or threatens any right or safety; or that impersonates others. We also retain the right to take proper legal actions, including but not limited to removing any illegal or infringing content, suspending the qualification of violators, saving relative information, and reporting to relevant authorities based on applicable laws and regulations.
Some of our Services must be used in conjunction with other networks, including but not limited to the application market and the theme market.

II. Introduction to ugee Account

ugee Account refers to the identification tool owned and managed by ugee and used for verifying the identity of the user. As a registered user, you only have the right to use the ugee Account initially registered in your own name.

You may enjoy the products and services of ugee and its affiliates by registering for a ugee Account.

All the products and services of ugee and its affiliates shall be governed by this Agreement. When you enjoy any individual service, you shall be bound by the terms and conditions of this Agreement.

III. Use Rules of Account

Registration of Account

Before you start the registration procedure and use a ugee Account, you shall be a person with full capacity for civil conduct. Minors are permitted to use ugee Account only with the consent of their parent or guardian. You are subject to and solely responsible for compliance with all laws and regulations of the jurisdiction in which you reside and from which you access or use ugee Account.

You shall provide timely, detailed, and accurate personal information, and constantly update your registration information accordingly. You warrant that all information submitted at the time of registration (including but not limited to mobile phone number and email address) is truthful, accurate, legal, and valid and belongs solely to you.

ugee will not be responsible for any related problems arising from untruthful registration information or untimely updates. You may check and correct your information on the ugee Account settings pages. You shall use real identity information to authenticate the registered account, and all registration information such as account name, avatar, and profile shall not be illegal or harmful. If such situations exist, registration will not be permitted; and after registration, if ugee finds that you registered with false information, or if your account avatar, profile, or other registration information is illegal or harmful, ugee has the right to take measures including but not limited to requesting correction within a time limit, suspending use, and terminating use of your account.

Use of Account

You shall be responsible for all acts related to your ugee Account (including but not limited to posting information, purchasing goods and services, and disclosing information).

Your ugee Account contains details about your personal information and ugee business information; therefore, your ugee Account is for your personal use only. Without the consent of ugee, directly or indirectly authorizing a third party to use your ugee Account or obtain information related to your account is invalid. If ugee determines that the use of your ugee Account may endanger the security of your account and ugee information safety, ugee may refuse to provide services or terminate this Agreement.

Custody and Retrieval of Account

Your ugee Account includes account name and password. You may log in with the created account name (including account ID or mobile phone number) and password. You shall safeguard your account and password and change your password regularly. If you need to retrieve your ugee Account information, please provide the corresponding information in accordance with the ugee Account retrieval process, and ensure that the information provided is legal, truthful, and valid. If the information provided fails to meet the requirements and cannot pass the ugee security verification, ugee has the right to refuse to provide account retrieval service.

If your current ugee Account was not initially registered by yourself or was obtained through other means, and you know the password of such account, you shall not log in with such account or take any action except notifying ugee or the person who initially registered the account.

Assignment of Account

You may use the ugee Account within the scope agreed in this Agreement. You shall not maliciously register the ugee Account, nor give, borrow, rent, assign, or sell the ugee Account, with or without compensation, or otherwise permit a non-initial registrant to use the ugee Account. ugee has the right to independently determine and deal with such behaviors.

ugee has the right to take the following measures against you in accordance with laws and regulations:

If you violate laws and regulations, ugee Independent Agreements, or business rules, ugee has the right to make independent judgments and take measures, including but not limited to requesting correction within a time limit, suspending use, terminating use of your ugee Account, and deciding whether to resume use of the account pursuant to actual conditions.
If ugee finds that you are not the initial registrant for such account, ugee has the right to terminate the use of your account.

Account Withdrawal

In order to make full use of the resources available through your ugee Account, if you fail to access your ugee Account for 24 consecutive months or log in through any method approved by ugee, ugee has the right to terminate the use of your ugee Account and discontinue its provision of services to you. If there is any pending transaction related to this account, ugee may assist you in a reasonable manner. If this does occur, please follow the instructions given by ugee.

Account Security

Your account is created and safeguarded by yourself. ugee will not require you to provide your password at any time. We recommend that you act appropriately to protect your account, including but not limited to installing antivirus software and changing your password regularly.

ugee will not be liable for any losses and consequences arising from your accidental disclosure, attacks, or fraud by others. You shall seek recourse from the infringer through judicial, administrative, or other remedies.

Account Cancellation

You may apply for cancellation of your ugee Account. If you decide to terminate the use of ugee Account services, the following conditions shall be fulfilled:

You may only apply for cancellation of your own account in accordance with the ugee process.
You shall still be responsible for your behaviors when you enjoyed ugee services prior to cancellation of your ugee Account.
You shall be aware that the termination of your ugee Account means your user information will be removed from the ugee database.

IV. User's Rights and Obligations

You acknowledge that your ugee Account is not a data backup service. You agree to create and maintain adequate regular backups of all User Content you upload or share using your ugee account.

You agree that you will not violate any law, breach any contract or other legal duty owed to a third party, infringe or misappropriate any intellectual property right, or commit any tort in connection with ugee. More particularly, you agree not to:

Access or tamper with, or attempt to access or tamper with, any area of the ugee site you are not authorized to access, or otherwise attempt to probe, scan, or test the vulnerability of any ugee or third-party application.
Reverse engineer any aspect of ugee, do anything that might discover source code, or bypass or circumvent measures employed to prevent or limit access to any area, content, or code of the ugee Services.
Modify, translate, or otherwise create derivative works of any part of ugee.
Interfere or attempt to interfere with the proper workings of or any activities conducted on ugee, or access or attempt to access the ugee site with any bot, spider, crawler, or other automated system or process, or bypass robots.txt exclusion files or other measures used to prevent or regulate access to ugee.
Post, upload, or distribute any User Content that is defamatory, libelous, inaccurate, unlawful, or that a reasonable person would deem to be objectionable, offensive, indecent, pornographic, harassing, threatening, embarrassing, distressing, vulgar, hateful, racially or ethnically offensive, or otherwise inappropriate.
Post or upload any User Content that contains viruses, adware, spyware, worms, or other malicious code or any content or file that may compromise any security or access control feature of ugee.
Impersonate any person or entity, falsely claim an affiliation with any person or entity, or access the ugee Account of any other user without permission, forge another person's digital signature, misrepresent the source, identity, or content of information transmitted via ugee, or perform any other similar fraudulent activity.
Post or send unsolicited commercial messages or advertise any goods, software, products, or services other than the Offerings available through ugee.
Use ugee to create products or perform services which compete or interfere with those of ugee or its licensors.
Use ugee in any manner that would require ugee to be compliant with the U.S. Health Insurance Portability and Accountability Act of 1996, as amended ("HIPAA").
Store, maintain, process, or transmit an individual's government-issued personal identification numbers (such as social security numbers, driver's license or passport numbers) or protected health information (as defined by HIPAA).
Infringe or misappropriate any patent, trademark, trade secret, copyright, right of publicity, or other intellectual property or proprietary right.
Invade the privacy of a third party or use personal data of third parties for commercial purposes or in a manner that violates their rights or applicable laws.
Access or use ugee for any unlawful, unintended, or harmful purpose, or other than in full compliance with applicable law and these Terms.
Take any action which might impose a significant burden on the infrastructure for ugee.
Use ugee products in connection with life support systems, medical devices, or any application where failure or malfunction could lead to possible loss of life.
Interfere with the ordinary operation or mission of the ugee services.

Do not use the ugee services to engage in the following activities:

Entering the computer information network or using computer information network resources without permission.
Deleting, modifying, or adding computer information network functions without permission.
Deleting, modifying, or adding data and applications stored, processed, or transmitted in the computer information network without permission.
Deliberately making and disseminating destructive programs such as computer viruses.
Other behaviors that endanger computer information network security.

If there is any claim, requirement, or loss (including reasonable attorney fees) asserted by any third party against ugee, partner companies, and affiliates arising from your violation of the provisions of this Agreement or the relevant terms of services, you agree to indemnify and hold harmless ugee, partner companies, and affiliates from any such damage. ugee also has the right, depending on the nature of your conduct, to take measures including but not limited to deleting published information, suspending use of the ugee Account, terminating services, restricting use of the ugee Account, and seeking legal liability. ugee will also assist in investigations at the requirements of judicial departments.

You shall not replicate, copy, sell, resell, or use for any other commercial purpose any part of the ugee services or the use or acquisition of ugee property.

You shall be legally responsible for your behaviors in the use of ugee services. Legal liabilities include but are not limited to compensation for victims and equivalent compensation to ugee after ugee first assumes responsibility for administrative punishment or tort damage arising from your behaviors.

V. Disclaimer

ugee shall not assume any legal liability in any of the following circumstances:

Providing your personal information in accordance with legal provisions or at the requirements of relevant government departments.
Any disclosure of personal information arising from improper use by yourself or other reasons.
Any failure to meet your requirements arising from service interruption, blockage, etc. caused by hacker attacks, computer viruses, illegal information, government regulations, network or technical issues, communication line failures, information security management measures, or similar causes.
Any circumstance arising from third-party communication line failures, technical problems, network issues, computer failure, system instability, or other losses caused by force majeure.
Any risk arising from the use of ugee products, programs, and services that may contain anonymous or impersonating information, threats, defamatory, offensive, or illegal content.
Any interaction between users and other users through this website or ugee products, programs, and services that results in, or may result in, any psychological, physical damage, or economic loss due to misleading or deception by one party or the other.
ugee expressly declares that the timeliness, safety, and accuracy of ugee and its partner companies' services are not guaranteed in any form, whether express, implied, or otherwise.
No content posted by you using the ugee Account shall represent or reflect any opinions or policies of ugee, and ugee shall not be responsible for it.
Under no circumstances shall ugee be liable for any indirect, consequential, punitive, incidental, special, or penal damages, including loss of profits arising from your use of the ugee services. Notwithstanding any conflicting provision contained herein, our entire liability to you, for whatever reason or behavior, shall not exceed the fees (if any) that you paid to ugee for the use of the ugee service during the registration period.

All warranties, guarantees, or liabilities as provided by the local laws applying to you shall not be excluded or limited by contract. Nothing in the terms and conditions of this Agreement shall affect the rights legally entitled to you as a consumer, or diminish any legal rights and duties that cannot be contractually altered or waived.

VI. Intellectual Property Rights

The information you publish in ugee shall not infringe the intellectual property rights of any third party. Without the prior written consent of the relevant intellectual property owner, you shall not upload, post, modify, spread, or replicate any copyrighted materials, trademarks, or proprietary information belonging to others by any means. After receiving appropriate notice from any copyright owner or its legal representative, we will remove such infringing content following examination.

The intellectual property rights of the original contents (such as texts, pictures, videos, software, and performances) posted and uploaded by enjoying ugee service through ugee Account belong to you, provided that you confirm that your publication and uploading of such contents shall be deemed to constitute a non-exclusive, permanent, and irrevocable authorization to ugee to use, copy, and exercise other rights of all intellectual property rights relating to such contents, and you agree that ugee may sublicense the above-mentioned rights.

You shall not use any intellectual property rights of ugee without prior written consent of ugee. You warrant, represent, and undertake that you respect the intellectual property rights of ugee. You will not apply, or allow any third party to apply, for any trademark, domain name, wireless website, internet search term, or any trade name, service mark similar to the brand of ugee or its affiliates for any marketing, advertising, promotion, or other purposes in any jurisdiction. In the event of such circumstances, you shall transfer all relevant rights to ugee at your expense.

You warrant, represent, and undertake that you will not use the names (including but not limited to "ugee" and "HONGKONG UGEE TECHNOLOGY COMPANY LIMITED") or affiliated logos and designs of the above brands as part of the name of a company, merchant, service, or product, nor use ugee trademarks or similar trademarks. Any loss caused to ugee arising from your violation of this Article shall be borne by you.

VII. Amendment

In consideration of the rapid development of Internet-related technologies, markets, and business models, you agree that ugee has the right to regularly formulate and revise this Agreement and various rules in accordance with changes in relevant laws and regulations, the development of the Internet, and the adjustment of the company's operating conditions and business strategies. If there is any amendment, ugee will notify you of the changes by reasonable means. If you disagree with the above amendments, you shall immediately stop using the services under this Agreement. Logging in or continuing to use the ugee services means you recognize and accept the revised agreements and rules.

VIII. Termination

This Agreement shall become effective as of the date of your use of our services and shall remain in force during your use of the ugee services, until terminated in accordance with this Agreement.

Notwithstanding the foregoing, if you use the ugee services before you accept this Agreement, you hereby know and agree that this Agreement will be effective from the first time you use the ugee services, unless terminated earlier in accordance with this Agreement.

We reserve the right to allow you to use the ugee services or ugee Account in accordance with the law; we will terminate this Agreement at any time for any reason with or without notice, including if ugee believes that you have violated our user policy or other provisions of this Agreement.

Without being subject to the provisions of the preceding paragraph, if you infringe the copyright of a third party and ugee receives a notice from the copyright owner or its legal representative, ugee reserves the right to terminate this Agreement.

IX. Miscellaneous

Feedback

Your suggestions (or "feedback") to ugee shall be deemed to constitute a transfer of all rights in such "feedback" to ugee, and you agree that ugee has the right to use this "feedback" and related information in any reasonable way. ugee will treat such feedback as non-confidential and non-proprietary. You agree that you will not provide ugee with any information that you consider to be confidential and proprietary.

Privacy Policy

Please refer to our Privacy Policy, which has the same effect as this Agreement and is an integral part thereof.

Notice

You shall provide a valid email address or telephone number. Notices and announcements issued by ugee sent to you constitute valid notice.

Applicable Law

The interpretation of the terms of this Agreement, its effectiveness, and dispute resolution are governed by the laws of Hong Kong. If any dispute or controversy arises between you and ugee, it should first be settled through friendly consultation. If consultation fails, you agree to submit the dispute to the jurisdiction of the court where ugee is located.

Independence

If any provision of this Agreement is invalid or unenforceable for any reason, that provision shall be modified in order to be valid and enforceable in accordance with the law. However, the remaining provisions of this Agreement shall remain valid and binding.

Part II — ugee Ufun Application License Agreement

This part of the Agreement is a legal agreement between you (an individual or a single entity/group) and Shenzhen Hanvon Ugee Technology Co., Ltd. ("the Company") with respect to your installation and use of the ugee Ufun application ("ugee Ufun" or "this Software"). Please read this part carefully before using the Software. By installing, copying, downloading, accessing, or otherwise using this Software, you indicate that you agree to be bound by the terms herein. If you do not agree, the Company shall not grant you the right to use this Software.

This Agreement may be updated from time to time. Updated terms will replace previous terms once published without further notice. If, after modification, you do not accept the modified terms, please immediately stop using the Software and services. Your continued use of the Software will be deemed as acceptance of the modified terms.

1. Intellectual Property Rights Statement

1.1 ugee Ufun is developed by Shenzhen Hanvon Ugee Technology Co., Ltd. All copyrights, trademarks, patents, trade secrets, and other intellectual property rights related to this Software, as well as all information and content associated with this Software—including but not limited to text expressions and combinations, icons, graphics, decorations, charts, colors, interface designs, layout frameworks, related data, printed materials, or electronic documents—are protected by the Copyright Law, Trademark Law, Patent Law, Anti-Unfair Competition Law of the People's Republic of China, relevant international treaties, and other intellectual property laws and regulations. Except for software or technologies licensed from third parties, the Company owns the above intellectual property rights.

1.2 Without the written consent of the Company, users shall not, for any commercial or non-commercial purpose, implement, utilize, transfer, or license any third party to implement, utilize, or transfer the above intellectual property rights. The Company reserves the right to take action against such unauthorized conduct.

2. Scope of Authorization for This Software

2.1 Users shall not, without permission, install this Software on computer devices not expressly authorized.

2.2 Reservation of Rights: All other rights not expressly authorized remain vested in the Company. Users must obtain separate written consent from the Company to exercise such rights.

2.3 Except as expressly provided in this Agreement, this Agreement does not specify relevant service terms for other services accessed through this Software from the Company or its partners. Separate service terms may apply to such services; users should review and confirm them when using the relevant services.

3. User Guidelines

3.1 Users shall ensure that all information provided to the Company is true and accurate.

3.2 Software Use License

3.2.1 Users may use various services provided by the Company in connection with the purchased software by purchasing a registration license. When using such services through a purchased software license, users must also comply with the service terms of each service.

3.2.2 The copyright of the software belongs to the Company. After completing the registration process, users obtain the right to use the software.

3.2.3 The right to use the Company's software license belongs only to the original registrant. It is prohibited to gift, lend, rent, transfer, or sell the license. If the Company finds that the user is not the original license registrant, the Company has the right to revoke the license without notice and without assuming legal liability to the account user. Any losses resulting therefrom, including but not limited to interruption or data deletion, shall be borne by the user. The Company prohibits users from transferring licenses, whether for compensation or not. Users shall bear any losses incurred due to violation of this requirement, and the Company reserves the right to pursue legal liability against such violators.

3.2.4 Users are responsible for the safekeeping of their software use license and shall bear full responsibility for all activities conducted under the license. Users agree to promptly notify the Company if they become aware of any unauthorized use of their license by others.

3.3 Prohibited Conduct

Users may use this Software in accordance with this Agreement, provided they comply with applicable law. Users are not authorized to engage in, including but not limited to, the following acts:

3.3.1 Logging into or using the software and services through third-party compatible software or systems not developed, authorized, or approved by the Company, or using plugins or secondary development software not authorized or certified by the Company.

3.3.2 Removing any copyright information or content from this Software or its copies.

3.3.3 Reverse engineering, reverse assembling, reverse compiling, or similar acts on this Software.

3.3.4 Without the written consent of the Company, engaging in acts such as using, renting, lending, copying, modifying, linking, reprinting, compiling, publishing, establishing mirror sites, or exploiting this Software to develop derivative products, works, services, plugins, add-ons, or interconnections.

3.3.5 Using this Software to post, transmit, disseminate, or store content that violates national laws, endangers national security, national unity, social stability, public order and good morals, or any inappropriate, defamatory, obscene, violent, or otherwise illegal content.

3.3.6 Using this Software to post, transmit, disseminate, or store content that infringes upon the intellectual property rights, trade secrets, or other legal rights of others.

3.3.7 Transmitting or distributing files that contain images, photos, software, or other materials protected by intellectual property laws, unless the user owns or controls the relevant rights or has obtained all necessary permissions.

3.3.8 Using any materials or information obtained through this Software in a manner that infringes trademarks, copyrights, patents, trade secrets, or other proprietary rights of any party.

3.3.9 Engaging in any conduct that harms computer network security, including but not limited to: using unauthorized data or accessing unauthorized servers/accounts; entering public computer networks or others' computer systems without permission and deleting, modifying, or adding stored information; attempting to probe, scan, or test the vulnerabilities of this Software's system or network; attempting to interfere with or disrupt the normal operation of this Software's system or website; intentionally spreading malicious programs or viruses; or forging TCP/IP packet names or partial names.

3.3.10 Modifying or falsifying instructions, data, or packets during the operation of the software; adding, deleting, or altering the functionality or operation effects of the software; or using such software for the above purposes for public transmission or operation over information networks.

3.3.11 Using this Software and the services provided for nuclear facility operations, life support, or other major equipment where failure or malfunction could endanger human life or property. The Company shall not be liable for any personal injury, severe property damage, or environmental harm resulting from such use.

3.3.12 Creating, publishing, or disseminating software used to steal personal information, proprietary information, property, or confidential information.

3.3.13 Without the express written authorization of the Company, selling, renting, lending, distributing, transferring, or sublicensing the software and services, or related links, or profiting from the use of the software, services, or their terms.

3.3.14 Otherwise using this Software in any illegal manner, for any illegal purpose, or in any manner inconsistent with this Agreement.

3.3.15 If a user violates the above provisions, the Company has the right to terminate, fully or partially suspend, or restrict the user's ability to use the software.

3.4 Any software derived from this Software not developed or officially released by the Company is unauthorized. Downloading, installing, or using such software may lead to unpredictable risks. All resulting legal liabilities and disputes are unrelated to the Company.

3.5 Forms of User Consent

"User consent" may be expressed by:

Accepting this Agreement and the service terms issued by the Company.
Oral or written statements made by the user via email, telephone, fax, instant messaging, etc.
Provisions in the Agreement or service statements that state "default consent" and to which the user has no objection.
Other methods recognized by both the user and the Company.

3.6 Replacement, Modification, and Upgrade: The Company reserves the right to provide replacement, modification, or upgrade versions of this Software at any time, as well as the right to charge fees for such replacement, modification, or upgrades.

4. Legal Liability and Disclaimer

4.1 To ensure the autonomy of the Company's business development and adjustments, the Company reserves the right to modify or interrupt software licensing at any time without notice to users. If necessary, modifications or interruptions will be announced on important pages of the website.

4.2 If a user violates this Agreement or relevant service terms, resulting in any claim, demand, or loss asserted by any third party (including reasonable attorneys' fees), the user agrees to indemnify and hold harmless the Company and its affiliated companies.

4.3 Use of this Software is at the user's own risk. The Company and its partners make no warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties or conditions of merchantability, fitness for a particular purpose, absence of viruses, negligence, or technical defects, title, and non-infringement. The Company and its partners shall not be liable for any direct, indirect, incidental, special, or consequential damages or risks arising from the use or inability to use this Software.

4.4 The Company and its partners shall not be liable for any losses suffered by users due to computer failures, system instability, or other force majeure events caused by third parties.

4.5 If force majeure events such as technical failures affect the normal operation of the services, the Company and its partners commit to promptly cooperating with relevant parties to repair the issue. However, the Company and its partners shall not be liable for any losses incurred by users as a result.

5. Miscellaneous

5.1 If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

5.2 The interpretation, validity, and resolution of disputes under this Agreement shall be governed by the laws of the People's Republic of China. Any dispute or controversy between the user and the Company shall first be resolved through friendly negotiation. If negotiation fails, the user agrees to submit the dispute to the competent people's court in the location of the Company for jurisdiction.

5.3 This Agreement becomes effective immediately upon the user's consent to install the software.

5.4 The Company reserves the right of final interpretation of the above provisions and content.
